| ARTICLE
1 - NAME AND AUTHORIZATION |
| 1.1 |
The name of this Association is "THE CANADIAN MILITARY
ENGINEERS ASSOCIATION" in the English language, and "L'ASSOCIATION
DU GENIE MILITAIRE CANADIEN" in the French language (herein in
each case respectively referred to as the "The Association" or
"l'Association"). |
| 1.2 |
The Association was formed at an inaugural meeting
in November 2000 on the authority of the Branch Advisor of the
Canadian Military Engineering Branch. |

| ARTICLE
2 - OBJECTIVES |
| 2.1 |
To enhance the effectiveness of Canada's military
engineering capability, and to promote continued excellence in
the development of military engineering, and to foster an interest
in all aspects of military engineering. |
| 2.2 |
To encourage effective communication and close
association amongst all serving and former members of the Canadian
Military Engineers (herein referred to as the "CME"), its predecessors,
and its associated civilians and organisations. |
| 2.3 |
To enhance the position of the CME as both an operational
and an operational support component of the Canadian Armed Forces,
and accordingly, to enhance opportunities for members of the CME
within both the Canadian Armed Forces and Canadian society in
general. |
| 2.4 |
To preserve the history of Canada's military engineering
practitioners, to honour their customs, traditions and heritage,
and to commemorate their achievements and sacrifice. |
| 2.5 |
To facilitate the wellbeing of all Association
members , and to respond promptly and with effect to assist the
welfare of members and their families as needed. |
| 2.6 |
To co-operate with other organisations that address
Canada's strategic and national security interests, and to advise
the Government of Canada, through the Minister of National Defence,
on matters that involve military engineering. |

| ARTICLE
3 - BY-LAWS |
| 3.1 |
Any Regular Member may submit, with the support
of one or more other Regular Members, a proposed By-law to the
National Executive Committee (NEC) for consideration. |
| 3.2 |
The NEC may make, amend or repeal any By-laws that
regulate the operations, administration and affairs of the Association. |
| 3.3 |
Where the NEC acts under section 3.2, the NEC shall
submit the By-law, to the next Annual Meeting, which Meeting may
confirm, reject or amend the By-law, by a simple majority of the
votes cast. |
| 3.4 |
Where the NEC acts under section 3.2, the By-law
is effective from the date of the NEC resolution until it is confirmed,
under section 3.3 or until it ceases to be effective under section
3.5 and, where the By-law is confirmed or amended, it continues
in effect in the form in which it was so confirmed. |
| 3.5 |
If a By-law is rejected under section 3.3, or if
the NEC does not submit the By-law to an Annual Meeting as required,
the By-law ceases to be effective on the date of such rejection
or on the date of the Annual Meeting at which it should have been
submitted, as the case may be. No subsequent resolution of the
NEC having substantially the same purpose or effect is effective
until it is confirmed at an Annual Meeting under section 3.3. |

| ARTICLE
4 - MEMBERSHIP |
| 4.1 |
The classes of membership of the Association, and
the qualifications, privileges and the requirements for admission,
transfer and severance of each class shall be specified in the
By-laws. The word "member", when used without qualification, will
include all classes of membership. |
| 4.2 |
Membership dues shall be established in accordance
with the By-laws. |

| ARTICLE
5 - CHAPTERS |
| 5.1 |
A Chapter of the Association may be established
at any place in accordance with the By-laws. |
| 5.2 |
The operations and administration of any Chapter,
including the nomination and election of officers, shall be in
accordance with the By-laws. |

| ARTICLE
6 - NATIONAL COUNCIL |
| 6.1 |
The general governance, the establishment of policy
and the direction of The Association shall be vested in the National
Council. |
| 6.2 |
The members of the National Council shall be:
a. the National Officers
b. the Divisional Vice-Presidents
c. the Officers-at-Large
d. the Immediate Past President
e. the Colonel Commandant of the CME
f. Chapter delegates as specified in the By-laws
g. in an ex-officio capacity, the persons holding the following
appointments:
(1) the Branch Advisor of the CME or equivalent appointment.
(2) the President, the Military Engineering Institute of Canada
(MEIC)
(3) the President, the Military Engineers Museum Association
of Canada Inc. (MEMAC)
(4) the designated representative of other Military Engineering
organisations, societies, agencies, etc. as specified in the
By-laws. |
| 6.3 |
The duties and location of the members of the National
Council shall be specified in the By-laws. |
| 6.4 |
Divisional boundaries and jurisdictions shall be
set out in the By-laws. |
| 6.5 |
The National Council will normally meet annually,
and in any case not less frequently than biennially, at a time
and place to be appointed by the President or the Executive Director
on behalf of the President. If circumstances do not permit a meeting
in any given year, a NEC Meeting, enlarged if possible to include
at least the Divisional Vice-Presidents, will be held and deemed
to be the Annual Meeting for that year. |

| ARTICLE
7 - NATIONAL COMMITTEES |
| 7.1 |
The National Council shall establish a National
Executive Committee in accordance with the Constitution and the
By-laws. |
| 7.2 |
The National Council may from time to time authorise
the formation of other committees for the promotion of the objectives
and interests of The Association or to undertake special studies
or tasks. |
| 7.3 |
The National Council may from time to time establish
an Advisory Committee. Its composition and duties will be established
by By-law. |

| ARTICLE
8 - NATIONAL EXECUTIVE COMMITTEE |
| 8.1 |
The National Executive Committee (NEC) shall manage
the concerns and affairs of The Association on behalf of the National
Council. |
| 8.2 |
The members of the NEC shall be:
a. the National Officers; and
b. in an ex-officio capacity, the persons holding the following
appointments:
(1) the Colonel Commandant of the CME;
(2) the Immediate Past President of the Association; and
(3) The Association Liaison Officer appointed by the Branch
Advisor of the CME or equivalent appointment.

| 8.3 |
The duties and locations of members of the NEC
shall be specified in the By-laws. |
| 8.4 |
The NEC may from time to time invite any other
person to attend its meetings. |

| ARTICLE
9 - OFFICERS |
| 9.1 |
The National Officers of the Association shall
be:
a. the President;
b. the Senior Vice-President;
c. the Executive Director;
d. the National Secretary;
e. the National Registrar; and
f. the National Treasurer. |
| 9.2 |
There shall be Divisional Vice-Presidents representing
each of the Association Divisions specified in the By-laws. |
| 9.3 |
There may be one or more Officers-at-Large having
such titles or designations as the NEC may determine. |

| ARTICLE
10 - ELECTION OF OFFICERS |
| 10.1 |
The procedure for the nomination of officers shall
be as follows: a. The National Nominating Committee
for an Annual Meeting shall consist of the Immediate Past President,
as Chairman, such other Past Presidents as are able to serve,
and such other Regular Members as the President may appoint
not less than 60 days before such Annual Meeting.
b. Nominations of officers will be received in writing up
to 30 days before an Annual Meeting, endorsed by at least
two Regular Members, and will be received from the floor at
such Annual Meeting.
c. The National Nominating Committee shall report to the
National Council at such Annual Meeting.
d. Such elections as are necessary will be conducted by confidential
ballot either at an Annual Meeting, by formal balloting by
correspondence, or formal electronic balloting.

The National Officers and the Divisional Vice-Presidents
shall be elected by the National Council. |
| 10.3 |
The Officers-at-Large shall be appointed from time
to time by the NEC. |
| 10.4 |
In consultation with the NEC, the President may
appoint any Regular Member to any vacancy (other than a Chapter
executive vacancy) to complete an unexpired term. |
| 10.5 |
Procedures for balloting by correspondence or by
formal electronic balloting will be specified in the By-laws. |

| ARTICLE
11 - FISCAL YEAR AND AUDITOR |
| 11.1 |
The fiscal year will be that set forth in the By-laws. |
| 11.2 |
An Auditor shall be elected by the National Council
at each annual meeting, with the responsibility of auditing the
financial statements of the Association in accordance with the
By-laws. |

| ARTICLE
12 - EXECUTION OF DOCUMENTS |
| 12.1 |
Official documents requiring execution by The Association
shall be signed by any two of the National Officers described
in Article 9.1 or by any other National Officer or Officers designated
by the NEC for the purpose. |

| ARTICLE
13 - AMENDMENTS |
| 13.1 |
Any proposal for change to the Constitution shall
be made in writing signed by at least two Regular Members and
shall be sent to the Secretary. |
| 13.2 |
Any proposal received at least two months before
an Annual Meeting shall be reported on by the NEC and voted on
at that Annual Meeting. Proposals received after this time shall
be held over for the next Annual Meeting. |
| 13.3 |
Adoption of any proposal to change the Constitution
requires approval by an extraordinary two-thirds majority of the
votes cast at such meeting on the matter; provided that such extraordinary
majority shall include a majority of the votes cast by Chapters
voting on the matter. |
